The Board of Directors and Management of The First Bancorp view Corporate Governance as a critical component in how the Company is managed and seek to incorporate best practices in this area at all times. The Company's commitment to this predates the mandates legislated by Sarbanes-Oxley in 2002 by more than ten years. As an example, the Chief Executive Officer and Chief Financial Officer have provided a signed certification of the Company's financial statements every year since 1990.
The First Bancorp's Audit Committee is comprised entirely of outside directors who meet the independence test required by the SEC, as does the Nominating Committee. Both Committees operate under charters which are available to shareholders and the public.
